Company: Salty Sea Grapes Inc. ("we," "our," or "us")
Services: Creative content production via project-based work and subscription-based access to The Dock.

1. Overview

These Terms of Use (“Terms”) govern your access to and use of services offered by Salty Sea Grapes Inc., including:

Project-based creative work (e.g. design, animation, motion graphics, editorial, VFX, virtual production); and
The Dock: our tiered creative subscription service.

These Terms apply to all clients, agencies, or brand partners ("you") and are legally binding once you engage with our services, sign an agreement, or use The Dock. Additional service agreements, proposals, or statements of work may apply; in case of conflict, the more specific document governs.

2. Deliverables & Formats

Unless otherwise agreed:

Final deliverables will be provided as digital files, typically in QuickTime, image sequence, or other appropriate production-ready formats.
Design for motion graphics will be presented as styleframes, boards, or short video previews.
File delivery is via secure cloud services (Dropbox, Frame.io, Notion, etc.).

3. Intellectual Property

Ownership of Final Deliverables

Upon full and cleared payment, you gain exclusive ownership of the final, approved deliverables created specifically for your project or subscription tier. This includes flattened video files, graphics, and other agreed-upon assets delivered in the final format.

You may use these deliverables in perpetuity for commercial or editorial purposes, without additional licensing, unless otherwise specified in writing.

What’s Not Transferred

Unless otherwise negotiated and agreed in writing, the following are not included in the transfer of ownership:

Working project files (e.g., After Effects, Photoshop, Resolve, Blender, Fusion, Nuke, Unreal, or other layered/editable files)
Source files, templates, scripts, and internal tools
Unused concepts, drafts, styleframes, or treatments
Fonts, stock footage, or third-party elements (these remain under their original licenses)

If you require editable or working files, these must be scoped and licensed separately. Access to working files is not included in standard The Dock tiers unless explicitly outlined in your plan.

Our Rights

Salty Sea Grapes Inc. retains the right to:

Use final, non-confidential work for promotional purposes (portfolio, social media, awards, reels, etc.), unless restricted by NDA or written agreement
Reuse internal tools, libraries, or techniques developed during the course of a project

Third-Party Materials

If a project includes third-party materials (fonts, stock, plugins, music):

We will either use assets licensed by you, or license them on your behalf and bill accordingly
You are responsible for continued compliance with such licenses after delivery

Client Materials

You represent and warrant that any materials you provide (e.g., logos, copy, footage) are owned or properly licensed. Salty Sea Grapes assumes no liability for copyright violations from assets supplied by the client.

4. Payment Terms

Project Work

Billed according to an approved quote or scope, typically:
- 50% deposit upon signing
- 50% upon delivery
Payment accepted via Stripe, ACH, or check
Standard Net 15 terms unless otherwise stated

The Dock Subscriptions

Flat-fee, recurring billing via Stripe (monthly or quarterly)
Subscriptions auto-renew unless canceled with 7 days' written notice before the next billing cycle
No free trials
Fees are non-refundable
Services outside your subscription tier may be quoted separately

5. Feedback & Timelines

Timely client feedback is essential to maintain production schedules
Delays caused by late feedback, indecision, or lack of assets may shift delivery dates
Major changes in scope or deliverables may require revised timelines and additional costs

6. Cancellation

Project Work

If a project is canceled before completion:

You agree to pay:

1. All work completed up to the cancellation date
2. Any third-party costs incurred
3. A cancellation fee equal to 15% of the remaining project value

All intellectual property reverts to Salty Sea Grapes Inc.

Subscriptions

You may cancel The Dock at the end of any billing cycle with required notice
We may suspend or terminate your subscription for non-payment, misuse, or unreasonable overuse

7. Claims

Any claims regarding defects or missing deliverables must be submitted in writing within 10 business days of delivery
Failure to raise issues within this window constitutes acceptance

8. Confidentiality

All communications, drafts, and assets shared between you and Salty Sea Grapes will be treated as confidential unless otherwise agreed. NDAs will be fully honored.

9. Fair Use & Conduct

You agree not to:

Use our services or deliverables for unlawful, defamatory, or abusive purposes
Misrepresent our partnership or resell deliverables without rights
Abuse access to The Dock in ways that undermine fair and reasonable service allocation

10. Limitation of Liability

Services are provided “as-is” with no guarantee of performance metrics or marketing outcomes
We are not liable for indirect, incidental, or consequential damages
Total liability is capped at the amount paid to us in the 60 days prior to a claim

11. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved via arbitration or court proceedings within Florida, unless otherwise agreed.

12. Updates to These Terms

We may revise these Terms periodically. Updates will be posted and, when significant, communicated to active clients. Continued use of our services implies acceptance of the updated Terms.
